LIVE CASES · QUESTION & ANSWER

1. How should these two live cases be read?

These are real offerings with disclosed terms and observed listing prices. The valuations below are independent teaching models. They are not a reconstruction of the banks’ confidential valuation models and are not price targets.

FACT

Documented financials, offer terms and dated listing prices, with source links.

CALCULATION

Arithmetic based on disclosed inputs, such as listing return or market capitalisation.

ASSUMPTION

Forecast cash flows, selected multiples, discount rates and model bridges chosen for teaching.

“Secondary pricing” here means stock-market trading after the IPO, including the opening price. A technical “secondary listing” means listing on an additional exchange; a secondary offering/OFS means existing shareholders selling. These are different concepts.

The cases use information available by 30 October 2026. IPO-date analysis is kept separate from later filings. A listing price is an observation—not a guaranteed future price or a certification of intrinsic value. Currency units differ: Jio uses ₹ crore; SpaceX uses US$ billion.

3. Jio: which financial inputs can we actually use?

FY ended 31 March 2026 unless notedDisclosed input / model treatment
Revenue from operations₹1,46,885.3 crore
Reported EBITDA₹76,255.4 crore; issuer-defined, including other income in its stated calculation
Reported PAT₹30,049.1 crore; consolidated total, not automatically the exact equity-owner earnings numerator
Reported diluted EPS, pre-issue₹33.59
Statutory net worth₹3,34,013.4 crore
Modelled dilution-adjusted EPS₹33.59 × 893.903083 ÷ 920.903083 = ₹32.61; proxy holding historical earnings constant
Simplified post-funding net worth/share(₹3,34,013.4 + ₹30,187.6) crore ÷ 920.903083 = ₹395.48; excludes fees and interim earnings
Assumed post-funding net debt + other claims₹1,00,000 crore, purely a teaching assumption; not the issuer’s reported net leverage figure

Historical financial inputs: issuer-hosted draft abridged prospectus [J2], pp. 6–7. Final price and issue proceeds: [J1]. Using historical earnings on a post-issue share base is a diagnostic, not reported post-IPO EPS.

For an actual EV-to-equity bridge, reconcile borrowings, leases, deferred spectrum payments, non-controlling interests, investments, operating versus surplus cash, issue expenses and the deployment of proceeds. Their treatment must match EBITDA and cash flows. Our ₹1 lakh crore assumption already represents a post-funding bridge: do not add IPO cash again.

The same telecom business can trade at different multiples when investors change expectations for subscribers, ARPU, tariff increases, capex, spectrum costs, competition and digital-service monetisation. A platform label by itself does not justify a technology multiple.

4. Jio Case A: what does an explicit cash-flow valuation imply?

ASSUMPTION · FIVE FORECAST YEARS, NOT COMPANY GUIDANCE

Year 1–5 FCFF: ₹45,000; ₹54,000; ₹64,800; ₹74,520; ₹83,462.4 crore. Base WACC 10%; perpetual growth 5%; assumed post-funding net claims ₹1,00,000 crore; post-issue basic shares 920.903083 crore. Year-end cash flows. No separately added growth-project value.

EV = Σ FCFFₜ/(1+WACC)ᵗ + [FCFF₅ × (1+g)/(WACC−g)]/(1+WACC)⁵
Equity = EV − post-funding net claims
Value/share = equity ÷ post-issue shares

Worked solution

PV of five-year FCFF = ₹236,944.14 crore.
PV of terminal value = ₹1,088,295.26 crore.
Enterprise value = ₹1,325,239.40 crore.
Subtract ₹1,00,000 crore net claims and divide by 920.903083 crore shares: ₹1,330.48/share.

Jio DCF: assumptions move the valuation. Illustrative values per basic post-issue share. Forecasts and discount rates are assumptions; no probability weights are assigned.

Q. What if we use FCFE instead?

Assume equity cash flow of ₹35,000 crore in year 1, growing 15% for four more years, then 5% perpetually; cost of equity 12%. Discount FCFE directly, without subtracting debt again. This produces ₹744.79/share. The FCFF and FCFE examples use independent assumptions; they are not claimed to be reconciled versions of one capital-structure model.

To reconcile them: FCFE = FCFF − after-tax interest + net borrowing, with the same operating forecasts and a consistent leverage path. A five-year terminal calculation also needs an achievable mature margin and reinvestment policy.

5. Jio Case B: apply all the major valuation approaches

All selected multiples, forecasts and appraisals in this table are teaching assumptions, not a current peer survey. Historical financial inputs are identified above. Values are ₹ per post-issue basic share; rounding is for display.

P/EDilution-adjusted EPS ₹32.61 × 28/34/40×₹912.94 / ₹1,108.58 / ₹1,304.21Strong cross-check for a profitable issuer; growth and interest savings are not automatically in historical EPS.

Jio: compare model ranges with actual IPO and opening prices. IPO: ₹1119 · Opening: ₹1358. Ranges use different assumed methods. They are not confidence intervals. Red dashed = IPO; teal dashed = opening price.

Why not average every result? A ₹10 dividend assumption, a perpetual 13% ROE assumption and a 5G growth DCF describe different future economics. The difference is a question to investigate, not an invitation to mechanically average the prices.

LIVE CASES · QUESTION & ANSWER

6. Jio: what changed between the IPO and the opening trade?

MetricAt IPO ₹1,119At opening ₹1,358
Basic equity market value₹1,030,490.55 crore₹1,250,586.39 crore
Historical EPS proxy multiple34.32×41.65×
Illustrative EV/EBITDA using assumed claims14.83×17.71×
Illustrative EV/revenue using assumed claims7.70×9.19×

The opening market capitalisation exceeds the IPO-price value by ₹220,095.84 crore. This is a mark-to-market change across all basic shares, not cash raised by Jio. If a shareholder sells at the opening price, the buyer pays the seller; the company does not receive that secondary-market purchase money.

Price-discovery mechanism: Jio’s IPO book determines the offer price under the offer process. Exchange opening orders determine the initial trading price. Subsequent prices reflect new information, available float, orders and changes in required returns. The observed price can move faster than independently assessed business value.

At an assumed 34× sustainable P/E, an opening price of ₹1,358 would require EPS of ₹39.94—about 22.50% above this historical dilution-adjusted proxy. That is a reverse-valuation diagnostic, not proof that such earnings will occur.

LIVE CASES · QUESTION & ANSWER

7. SpaceX: what are we valuing—and which share count matters?

Use the prospectus’s combined company perimeter. Valuing only rockets while using the combined-company share price and shares would mismatch the numerator and denominator.

InputIPO-date benchmark
2025 combined revenue$18.674bn
2025 adjusted EBITDA$6.584bn; non-GAAP

Pro forma adjusted equity, base offering$116.028bn → $8.87/share; accounting book equity, not appraised NAV
Net cash / other-claims model bridge+$60bn assumed post-base-offer surplus net cash. Not a reported net-debt figure; assumes all debt-like claims and required operating cash have been assessed.
Additional share dilutionThe 15% greenshoe adds 0.083333333bn shares to the base if fully exercised. Other awards and later corporate actions require further reconciliation.

Sources: final prospectus [S1], capitalization pp. 69–70, historical financials pp. 23–25 and segment information. The assumed $60bn bridge deliberately avoids presenting an incomplete cash-minus-debt computation as a complete actual enterprise-value bridge.

P/E warning: the annual loss makes trailing P/E unsuitable. Neither adjusted EBITDA nor one profitable later quarter turns the IPO-date annual loss into sustainable positive earnings.

LIVE CASES · QUESTION & ANSWER

8. SpaceX Case A: how do we value investment today and cash flows much later?

ASSUMPTION · TEN-YEAR FCFF PATH · US$ BILLION

Year 1–10 FCFF: −10, −5, 5, 15, 30, 50, 75, 105, 140, 180. Base WACC 12%; terminal growth 4%; assumed net-cash bridge +$60bn; base post-IPO shares 13.075865175bn. These are deliberately ambitious teaching forecasts, not management guidance or analyst consensus.

Worked solution

PV of explicit FCFF = $227.31bn.
PV of terminal value = $753.42bn.
EV = $980.72bn.

SpaceX DCF: distant assumptions dominate. US$ per base post-offer share. Scaling negative early flows also changes funding needs. These are model scenarios, not probabilities.

Base terminal value supplies 76.8% of model EV. Test the mature margins, future capex, satellite replacement, launch economics, AI compute renewal, competition and financing required to reach those cash flows. A high revenue-growth story can still produce a low DCF when reinvestment is heavy.

Q. What would a separate FCFE illustration look like?

Assume ten equity cash flows of −12, −7, 2, 10, 22, 40, 65, 90, 125 and 165 ($bn), Ke 14% and terminal g 4%. Add a separately assumed $60bn of excess distributable cash, excluded from those cash flows. Direct equity valuation gives $52.34/share. This is an independent illustration; reconcile to FCFF using after-tax interest, net borrowing and the same financing plan before treating both as one valuation.

9. SpaceX Case B: apply the other valuation approaches—and test their limits

Multiples below are intentionally wide, high teaching assumptions, not observed comparable-company multiples. They reveal what is embedded in a very large market valuation. Values are US$ per base post-offer share.

Q. Can real options capture Starship, new networks or new AI markets?

Possibly, as a supplementary framework. Identify an opportunity not already counted in DCF/SOTP, its investment cost, timing, contingent payoff, probability and competition. For example, a wholly hypothetical project worth $100bn today if successful, with a 30% success probability and $20bn unconditional present cost, has a simple expected-value illustration (ignoring risk adjustments) of $10bn, or $0.76/base share. This is not a calibrated option-pricing model and must not be added if the same project is already in forecast cash flows.

10. SpaceX: how do IPO price, market price and the actual greenshoe connect?

The opening-price change marks all shares at a different price; it does not pay the company the increase in market capitalisation. Founders’ high-vote shares, lock-ups, conditional awards and a small traded float matter when interpreting that market value.

ACTUAL GREENSHOE · RECONCILED ARITHMETIC

Base shares: 555,555,555. Additional shares: 83,333,333, approximately 15% of base. Total shares sold: 638,888,888. At $135, gross proceeds calculate to $86.25bn. The subsequent 10-Q reports $85.675bn net proceeds after $0.575bn commissions and offering costs. [S3]

Worked solution

Additional gross funds = 83,333,333 × $135 ≈ $11.25bn.
Base-share post-IPO total 13.075865175bn + 0.083333333bn option shares = 13.159198508bn on that prospectus share basis, before other changes.
At $135, that expanded basic share count implies about $1,776.49bn equity value. Do not mix full-option cash with the base-offer share denominator.

Source reconciliation: SpaceX’s closing release describes approximately $85.7bn as “gross proceeds”. The share-count × price arithmetic and later 10-Q distinguish $86.25bn gross from $85.675bn net. This case uses the reconciled arithmetic and filing, rather than treating the release’s label as a second gross number.

Timing: the 30 September 2026 filing confirms the outcome, but was not available to an investor at the June IPO. Later acquisitions and share awards also change the current valuation denominator. The models here remain a controlled IPO-date/base-offer exercise, not a current October target price.

LIVE CASES · QUESTION & ANSWER

11. Try it: what does a different secondary-market price imply?

Reverse-valuation laboratory

Change only the share price. Historical financial inputs and the model’s capital-structure assumptions remain fixed.

Uses Jio basic post-issue shares, diluted historical EPS proxy and assumed net claims ₹1 lakh crore. SpaceX uses base-offer A+B shares and assumed net cash $60bn. This is a calculator, not a live market feed. Negative EV at low hypothetical prices does not establish a tradable arbitrage.
